Welcome to Siip! These Terms of Service ("Terms") govern your access to and use of the Siip mobile application (the "App") and related services (the "Services"). By using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Acceptance of Terms
By accessing or using Siip, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a legally binding agreement. If you are using Siip on behalf of an organization, you represent that you have authority to bind the organization to these Terms.
2. Account Registration
You must create an account to access certain features of the App.
You are responsible for keeping your login credentials secure and for all activity on your account.
You must provide accurate, complete, and up-to-date information during registration.
We reserve the right to suspend or terminate accounts that violate these Terms.
3. Permitted Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You shall not:
Violate any applicable laws or regulations.
Use the App for fraudulent, deceptive, or harmful purposes.
Interfere with the operation of the App or attempt to access restricted areas.
Copy, distribute, or reverse engineer any part of the App.
4. Intellectual Property
Siip and its content, including logos, text, images, and software, are owned by or licensed to us and protected by copyright and trademark laws.
You may not use, copy, or distribute any part of the App without our prior written permission.
5. User-Generated Content
If you submit reviews, comments, or other content to Siip, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, and display such content.
You are responsible for any content you post and must ensure it does not violate any laws or third-party rights.
We reserve the right to remove any content that violates these Terms or is otherwise inappropriate.
6. Third-Party Services
Siip may contain links to third-party websites or integrate with third-party services. We do not control or endorse these services and are not responsible for their content or privacy practices.
7. Disclaimers & Limitation of Liability
No Warranty: Siip is provided "as is" without warranties of any kind, express or implied.
Limitation of Liability: We are not liable for indirect, incidental, or consequential damages arising from your use of Siip.
Service Availability: We do not guarantee uninterrupted or error-free service.
8. Termination
We may suspend or terminate your account if you violate these Terms or engage in unauthorized use of Siip.
You may delete your account at any time.
9. Changes to These Terms
We may update these Terms periodically. If we make significant changes, we will notify you through the App or via email. Continued use of the App after changes means you accept the updated Terms.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
Any disputes shall be resolved in the courts of the State of Delaware.

Siip Roaster Connect Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Siip Shopify application (the “App”), provided by Siip Inc. (“Siip,” “we,” “us,” or “our”). By installing or using the App, you (“Merchant,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you may not install or use the App.
1. The App and Services
The Siip Roaster Connect App enables coffee roasters to connect their Shopify store to the Siip platform in order to:
Sync product listings, images, and availability
Receive and fulfill orders placed through the Siip consumer app
Manage inventory and order flow through Shopify
Siip acts as a discovery and commerce facilitator. Siip is not the seller of record for products sold by Merchants unless explicitly agreed otherwise in writing.
2. Eligibility and Account Requirements
To use the App, you must:
Operate a valid Shopify store
Have authority to bind the business you represent
Provide accurate and up-to-date business and product information
You are responsible for maintaining the security of your Shopify account and any credentials associated with the App.
3. Product Listings and Content
By using the App, you grant Siip a non-exclusive, royalty-free, worldwide license to use, display, and distribute your product data, images, descriptions, and brand assets solely for the purpose of operating and promoting your products within the Siip platform.
You represent and warrant that:
You own or have the rights to all content you provide
Your listings are accurate and comply with applicable laws and regulations
Siip may enhance or normalize product data for display purposes but will not materially alter pricing or product claims without your consent.
4. Orders, Fulfillment, and Shipping
Orders placed via Siip are transmitted to your Shopify store for fulfillment.
You are solely responsible for fulfilling orders accurately and on time.
You are responsible for shipping, customer support related to fulfillment, and handling returns unless otherwise agreed.
Siip does not guarantee order volume or sales performance.
5. Payments and Fees
Unless otherwise agreed in writing:
Siip may collect payment from customers on your behalf
Siip will remit payments to you according to agreed payout schedules, net of applicable fees or commissions
Fees, commissions, or revenue share terms will be defined in a separate commercial agreement or onboarding documentation.
You are responsible for all taxes, duties, and reporting obligations related to your sales.
6. Customer Data and Privacy
Each party agrees to comply with applicable data protection laws.
Customer data shared with you is provided solely to fulfill orders and provide customer support.
You may not use Siip customer data for unsolicited marketing unless expressly permitted by the customer.
Siip’s handling of personal data is governed by its Privacy Policy.
7. App Availability and Modifications
Siip may update, modify, or discontinue features of the App at any time. While we aim for high availability, the App is provided “as is” and may experience interruptions.
We are not liable for downtime caused by Shopify, third-party services, or force majeure events.
8. Termination
You may uninstall the App at any time through Shopify.
Siip may suspend or terminate access to the App if:
You violate these Terms
Your store engages in fraudulent or unlawful activity
Required fees remain unpaid
Upon termination, outstanding orders must still be fulfilled unless otherwise agreed.
9. Disclaimers
The App is provided “as is” and “as available.”
Siip disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
Siip does not guarantee increased sales, customer acquisition, or commercial success.
10. Limitation of Liability
To the maximum extent permitted by law:
Siip shall not be liable for indirect, incidental, or consequential damages
Siip’s total liability under these Terms shall not exceed the fees paid by you to Siip in the 12 months preceding the claim
11. Indemnification
You agree to indemnify and hold harmless Siip from any claims, damages, or losses arising from:
Your products or product claims
Order fulfillment, shipping, or customer disputes
Your violation of applicable laws or these Terms
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
